These Terms of Service ("Terms") govern your use of the Klem platform (the "Service") provided by Klem Technologies LLC, a company registered in Scotland, United Kingdom ("Klem", "we", "us"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Klem is an AI-assisted application builder that lets users describe an application in natural language and generate a working web app, database, and related assets. The Service includes AI generation features, integrations with third-party tools, hosted databases, and template libraries.
2. Eligibility & Account
You must be of legal age in your jurisdiction (or have parental consent) and, if using Klem on behalf of an organization, be authorized to bind it. You must provide accurate information, keep credentials confidential, and are responsible for activity under your account.
3. Acceptable Use
You must not misuse the Service. In particular, you agree not to:
- use the Service for anything unlawful, fraudulent, or misleading;
- infringe intellectual property, privacy, or publicity rights;
- send spam or transmit malware, viruses, or malicious code;
- probe, scan, scrape, or interfere with the security or integrity of the Service;
- reverse engineer, resell, or redistribute the Service outside the license granted below;
- circumvent usage limits, quotas, or paywalls.
4. Generative AI — Prohibited & Acceptable Use
Klem includes generative AI features. When using them, you must not create, generate, or attempt to elicit:
- illegal content, content that sexually exploits minors, or content depicting real people without consent;
- deepfakes, impersonation, or content intended to deceive;
- hate speech, harassment, incitement to violence, or targeted abuse;
- malware, phishing kits, exploits, or tools designed to compromise systems;
- content that violates a third party's IP, privacy, or contractual rights;
- prompts or techniques intended to jailbreak, exfiltrate, or bypass safety systems.
Your responsibility. You are solely responsible for the prompts you submit, the code and content you generate, how you use outputs, verifying their accuracy, and ensuring you hold the necessary rights to any content you supply as input. AI outputs may be inaccurate or incomplete and are not suitable for regulated professional advice (medical, legal, financial, safety-critical) without qualified human review.
IP for AI inputs and outputs. As between you and Klem, you retain rights in your prompts and generated outputs, subject to the license in Section 6 and the rights of third parties whose data or models are involved. Where a rights holder believes generated content infringes their rights, they may submit a takedown request to hello@klem.app; repeated infringement may result in suspension.
Content moderation. We may filter, refuse, remove, or restrict prompts, outputs, projects, or accounts that violate these Terms or platform safety policies, and we may suspend accounts for repeated or serious violations.
5. Intellectual Property
Klem, its software, documentation, models we own, branding, and the Service itself remain the property of Klem Technologies LLC and its licensors. No rights are granted except as expressly stated in these Terms.
6. Your Content
You retain ownership of the projects, data, and content you create with Klem ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, store, transmit, display, and process Your Content solely to provide, secure, and improve the Service for you.
7. Payments, Subscriptions & Merchant of Record
Klem is available as a free plan and paid plans (currently Pro Monthly and Pro Yearly). Payment, billing, tax, cancellation, and refund mechanics are handled by our reseller and Merchant of Record.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
For payment terms, please refer to Paddle's Buyer Terms. Subscriptions renew automatically at the end of each billing period unless cancelled. You can cancel at any time via the customer portal linked from your account.
8. Service Availability
We work to keep the Service available but do not guarantee uninterrupted, error-free, or bug-free operation. Scheduled maintenance, third-party outages, and force majeure events may cause downtime.
9. Suspension & Termination
We may suspend or terminate access if you materially breach these Terms, fail to pay, present a security or fraud risk, or repeatedly or seriously violate our policies. On termination, your right to use the Service ends immediately. You may export Your Content for a reasonable period after termination unless prohibited by law.
10. Warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the greater of (a) fees you paid to us in the twelve (12) months preceding the claim, or (b) USD 100. We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, gross negligence, death, or personal injury where such limitation is prohibited by law.
12. Indemnity
You will indemnify and hold harmless Klem Technologies LLC from claims arising out of Your Content, your use of the Service in violation of these Terms, or your infringement of third-party rights.
13. Governing Law
These Terms are governed by the laws of Scotland, United Kingdom. Disputes will be resolved by the competent courts of Scotland, without prejudice to any mandatory consumer protection rights available to you in your country of residence.
14. Changes
We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
